Welcome to Worix ("we", "us", or "our"). By accessing or using our website at www.worix.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Effective date" at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

Worix is an AI skills marketplace where users can discover, download, and share AI-powered skill packages. The platform enables creators to publish AI skills and users to download and use them. Skills are packaged as downloadable files and undergo quality review before being published.

3. Account Registration

• You must be at least 16 years old to create an account.
• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized use of your account.
• You may not use another person's account without permission.
• We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. User Conduct

When using the Service, you agree not to:

• Violate any applicable local, national, or international laws or regulations.
• Upload, publish, or distribute any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Upload malicious code, malware, viruses, or any software intended to damage or disrupt the Service or other users' systems.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
• Use the Service for any form of automated data collection (scraping, crawling) without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Circumvent any technical measures we use to provide or protect the Service.

5. Skill Publishing (Creators)

5.1 Submission and Review

Creators may submit AI skill packages for publication on the marketplace. All submitted skills are subject to our quality review process. We reserve the right to reject, remove, or delist any skill at our sole discretion, including but not limited to skills that:

• Contain malicious code or security vulnerabilities
• Violate intellectual property rights of third parties
• Produce harmful, illegal, or misleading content
• Do not meet our quality standards

5.2 Intellectual Property

You retain ownership of the skills you create and publish. By publishing a skill on Worix, you grant us a non-exclusive, worldwide, royalty-free license to host, display, distribute, and promote your skill on the platform. This license terminates when you remove the skill from the marketplace.

5.3 Creator Responsibilities

As a creator, you represent and warrant that:

• You own or have the necessary rights to publish the skill.
• The skill does not infringe on the intellectual property rights of any third party.
• The skill does not contain any malicious code or hidden functionality.
• The skill description accurately represents its functionality.
• You will respond to user reports and maintain your published skills.

6. Skill Downloads (Users)

• Skills are provided "as is" by their respective creators.
• You use downloaded skills at your own risk.
• The license for each skill is specified by the creator. Please review the license before using any skill.
• You may not redistribute, resell, or sublicense downloaded skills unless the skill's license explicitly permits it.
• We do not guarantee the accuracy, quality, or safety of any user-submitted skill, despite our review process.

7. Intellectual Property

The Service, including its original content (excluding user-submitted skills), features, functionality, design, and branding, is owned by Worix and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without prior written consent.

The Worix name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Worix. You may not use such marks without our prior written permission.

8. DMCA and Copyright Complaints

We respect the intellectual property rights of others. If you believe that any content on the Service infringes your copyright, please send a notice to legal@worix.ai containing:

• A description of the copyrighted work you claim has been infringed.
• A description of where the infringing material is located on the Service.
• Your contact information (name, address, email, phone number).
• A statement that you have a good faith belief that the use is not authorized.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
• Your physical or electronic signature.

9. Privacy

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that: (a) the Service will function uninterrupted, secure, or error-free; (b) the results obtained from the Service will be accurate or reliable; (c) any skills downloaded from the Service will meet your requirements or be free of defects; or (d) any AI-generated content produced by skills will be accurate, complete, or appropriate.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Worix, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to, use of, or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any content, including AI-generated content, obtained from or through the Service.
• Unauthorized access, use, or alteration of your transmissions or content.
• Any skill downloaded from the marketplace, including any damage caused by malicious or defective skills.

12. Indemnification

You agree to defend, indemnify, and hold harmless Worix and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including intellectual property rights; or (d) any skill you publish through the Service.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may contact us or use the account settings.

All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Worix is registered, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Worix regarding the use of the Service and supersede all prior agreements and understandings.
